Explanation of Responses:

1. Reflects deduction by Trump Media & Technology Group Corp. (the "Issuer") of shares otherwise issuable to the Reporting Person solely to cover the Issuer's withholding payments to applicable taxing authorities. No cash proceeds were received by the Reporting Person in connection with the disposition of securities disclosed on this form.

2. Certain of the securities reported in Column 5 of Table I are restricted stock units ("RSU"). Each RSU represents a contingent right to receive one share of common stock, par value $0.0001 per share, subject to the applicable vesting schedule and conditions of the applicable RSU award and the Issuer's 2024 Equity Incentive Plan.
