Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 17, 2022, Linda Addison resigned as a member of the Board of Directors of Good Works II Acquisition Corporation (the “Company”). Ms. Addison’s decision to resign was not a result of any disagreement with the Company.
On May 20, 2022, the Board of Directors of the Company appointed: (i) Stephen Harper to serve on the audit committee of the Board; (ii) Adelmo Lopez to serve on the compensation committee of the Board and to serve as chair of such committee; and (iii) Adelmo Lopez to serve on the nomination and corporate governance committee of the Board.
