1. Represents shares of Common Stock issued pursuant to settlement of vested Restricted Stock Units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's Common Stock.

2. Includes 100 shares acquired under the Issuer's employee stock purchase plan since the Reporting Person last filed a Form 4 with the Securities and Exchange Commission.

3. Each RSU represents a contingent right to receive one share of the Issuer's Common Stock.

4. 25% of the RSUs vested on October 2, 2024; the remainder of the RSUs vest in 12 equal quarterly installments thereafter, beginning on January 2, 2025.
