Reporting person Streeterville Capital LLC ("Streeterville") has rights under Pre-Paid Purchases to own an aggregate number of shares of the Issuer's common shares which, except for a contractual cap on the amount of outstanding shares that Streeterville may own, would exceed such a cap. Streeterville's current ownership cap is 9.9%. Thus, the number of shares of the Issuer's common shares beneficially owned by Streeterville as of the date of this filing was 2,181,057 shares, which is 9.9% of the 22,030,884 shares outstanding on February 13, 2025 (as reported in the Issuer's 10-Q filed on February 14, 2025).
