Item 3.03 Material Modification to Rights of Security Holders.
On April 24, 2023, Smart for Life, Inc. (the “Company”) implemented the previously announced one-for-50 reverse stock split (the “Reverse Stock Split”) of the Company’s common stock, par value $0.0001 per share (“Common Stock”) by filing a Certificate of Amendment to its Articles of Incorporation that became effective on April 24, 2023 (the “Certificate of Amendment”). The Reverse Stock Split has no effect on the number of shares of Common Stock authorized for issuance or on the par value of the Company’s Common Stock. The foregoing summary of the Certificate of Amendment is qualified in its entirety by reference to the full text of the Certificate of Amendment, which is attached hereto as Exhibit 3.1 and incorporated herein by reference.
The Common Stock began trading on a split-adjusted basis when the Nasdaq Capital Market opened on April 24, 2023 under the symbol “SMFL” with a new CUSIP number (83204U301).
