1. The securities to which this filing relates are held directly by certain funds (the "Kepos Funds") to which Kepos Capital LP (the "Investment Manager"), a Delaware limited partnership, serves as investment manager.

2. Mr. Mark Carhart ("Mr. Carhart") is the managing member of Kepos Capital GP LLC, the general partner of the Investment Manager. The Investment Manager and Mr. Carhart disclaim beneficial ownership of the Issuer's securities reported herein except to the extent of its or his pecuniary interest therein, if any.
