Explanation of Responses:

1. The RSU will vest over 4 years, with 25% vesting on the first anniversary of the date of grant, and the remaining 75% vesting in quarterly installments over the remaining 3 years, subject to continued service and acceleration upon a change in control.

2. The Stock Option will vest over 4 years, with 25% vesting on the first anniversary of the date of grant, and the remaining 75% vesting in quarterly installments over the remaining 3 years, subject to continued service and acceleration upon a change in control.
