On May 13, 2021, Mr. Abt forfeited 24,000 shares of the Class B Common Stock to the Issuer for no consideration in connection with a reduction in the size of the Issuer's initial public offering, resulting in the Mr. Abt holding 276,000 shares of the Class B Common Stock. The shares of the Class B Common Stock beneficially owned by the Reporting Persons include up to 36,000 shares of Class B Common Stock that are subject to forfeiture to the Issuer depending on the extent to which the underwriters' over-allotment option is exercised in connection with the Issuer's initial public offering of units, as described in the Registration Statement. |
