1. The Reporting Person was awarded 2,500 shares of restricted stock upon his reelection to the board of directors, which shares vest ratably over a period of four years from such reelection.

2. Includes (i) 6,250 shares of restricted stock previously reported as being owned by the Reporting Person and (ii) 173.05 shares of Class A Common Stock of the Issuer acquired by the Reporting Person pursuant to a one-time stock dividend paid by the Issuer to the holders of shares of Class A Common Stock, equivalent to approximately 0.11075 shares of Class A Common Stock per share of Class A Common Stock outstanding as of November 15, 2023.
