Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Pursuant to the authorization and approval previously provided by the stockholders of Better For You Wellness, Inc., a Nevada corporation (the “

Company

”), the Company filed a Certificate of Amendment to its Articles of Incorporation with the Secretary of State of Nevada to increase its authorized shares, $0.0001 par value per share, from 700,000,000 shares to 2,200,000,000 shares, which filing became effective on January 17, 2024 (the “

Amendment

”). A copy of the Amendment is attached as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated into this Item 5.03 by reference.
