Explanation of Responses:

1. The shares of Class B ordinary shares will automatically convert into shares of Class A ordinary shares at the time of the Issuer's initial business combination or earlier at the option of the holder as described in the section entitled ''Description of Securities - Founder Shares'' in the Issuer's registration statement on Form S-1 (File No. 333-255009), on a share-for-share basis.

2. The shares of Class B ordinary shares owned by the reporting persons include up to 750,000 shares that are subject to forfeiture in the event the underwriters of the offering do not exercise their over-allotment option as described in the Registration Statement.

3. Tristar Holdings I, LLC is the record holder of the shares reported herein. William M. Mounger has an ownership interest in an entity which is the managing member of Tristar Holdings I, LLC and holds voting and dispositive power over the shares held by Tristar Holdings I, LLC. Mr. Mounger disclaims beneficial ownership of these shares except to the extent of its or their respective pecuniary interest therein.
