Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
As previously disclosed on December 15, 2022 under a current report on Form 8K, on December 9, 2022, the Company received a notice (the “Notice”), dated December 9, 2022, from the Nasdaq Stock Market LLC (“Nasdaq”) indicating that as a result of the delinquency in the timely filing of the Company’s quarterly report on Form 10-Q for the period ended September 30, 2022 (the “10-Q”), the Company was out of compliance with Nasdaq Listing Rule 5250(c)(1) (the “Listing Rule”), which requires timely filing of all required periodic financial reports with the SEC.
On December 27, 2022, the Company received a compliance letter from Nasdaq (the “Compliance Letter”) stating that based on the Company’s filing of the 10-Q on December 21, 2022, Nasdaq has determined that the Company is in compliance with the Listing Rule and has accordingly closed the delinquency matter.
