Explanation of Responses:

1. This Form 3 is being filed solely due to the redemption of 9,762,392 Class A common stock by shareholders as announced by the Issuer in the Form 8-K filed on 12/15/2023 (the "Redemptions"), in which the Reporting Person did not participate. After the Redemptions, the Reporting Person's aggregate beneficial ownership on Class A common stock was above 10%.

2. Bank of America Corporation held an indirect interest in the securities listed in Table II by virtue of its indirect ownership of its subsidiary BofA Securities, Inc.
