Explanation of Responses:

1. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of the Issuer's Class A Common Stock

2. Sales reported herein were made pursuant to a "mandatory sell to cover" dictated by the RSU award agreement in order to cover tax withholding obligations in connection with the vesting and settlement of RSUs.

3. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $7.34 to $7.30, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in footnotes.

4. The RSUs have vested and settled or will vest and settle, as applicable, in 16 equal quarterly installments beginning on January 19, 2022. The RSUs do not have an expiration date.
