On April 15, 2024, Snap One Holdings Corp. (“Snap One”) and Resideo Technologies, Inc. (“Resideo”) issued a joint press release announcing the execution of an Agreement and Plan of Merger, pursuant to which, subject to the satisfaction or waiver of specified conditions, Resideo agreed to acquire Snap One in an all cash transaction. A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
