Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On July 15, 2024, TruGolf Holdings, Inc. (the “Company”) received a deficiency letter from the Listing Qualifications Department (the “Staff”) of the Nasdaq Stock Market (“Nasdaq”) notifying the Company that since it had failed to file its Form 10-Q for the period ended March 31, 2024 it no longer complied with Nasdaq Listing Rule 5250(c)(1). The deficiency letter does not result in the immediate delisting of the Company’s common stock from the Nasdaq Capital Market.
The Company has 60 calendar days from July 15, 2024 to submit a plan to regain compliance and if the Staff accepts the plan, it can grant an exception of up to 180 calendar days from the due date of the filing, or until November 12, 2024, to regain compliance.
