Explanation of Responses:

1. The shares of common stock are held by Mountain Crest Global Holdings LLC. On July 08, 2024, Mr. Dong Liu ceased to be the manager of Mountain Crest Global Holdings LLC and therefore no longer has any voting or dispositive control over the shares of common stock held by Mountain Crest Global Holdings LLC.

2. On July 08, 2024, Mr. Dong Liu ceased to be the manager of Mountain Crest Global Holdings LLC and therefore no longer has any voting or dispositive control over the shares of common stock held by Mountain Crest Global Holdings LLC.

3. The rights automatically convert into one-tenth (1/10) of a share of common stock upon the consummation of the issuer's initial business combination, as described in the issuer's prospectus filed with the SEC.

4. The rights are held by Mountain Crest Global Holdings LLC. On July 08, 2024, Mr. Dong Liu ceased to be the manager of Mountain Crest Global Holdings LLC and therefore no longer has any voting or dispositive control over the rights held by Mountain Crest Global Holdings LLC.
