1. Each restricted stock unit converts into one share of Organon & Co. common stock.

2. As originally reported on the Form 4, dated June 4, 2021, these Restricted Stock Units vested on December 31, 2021. These Restricted Stock Units were subsequently distributed to the Reporting Person on February 28, 2022.

3. The amount of the Restricted Stock Units has been slightly adjusted from the Reporting Person's Form 4, dated June 4, 2021, based on the finalization of certain calculations.
