Item 8.01 Other Events
On January 18, 2023, pursuant to the terms of the Amended and Restated Memorandum and Articles of Association of TKB Critical Technologies 1 (the “Company”), TKB Sponsor I, LLC (“Sponsor”), the holder of an aggregate of 5,650,000 of the Company’s outstanding Class B ordinary shares, par value $0.0001 per share (“Class B Shares”), elected to convert each outstanding Class B Share held by it on a one-for-one basis into Class A ordinary shares, par value $0.0001 per share (“Class A Shares”) of the Company, with immediate effect. Following such conversion, as of January 18, 2023, the Company had an aggregate of 28,650,000 Class A Shares issued and outstanding and 100,000 Class B Shares issued and outstanding.
