Explanation of Responses:

1. Exempt disposition to the Issuer under Rule 16b-3(e) to satisfy tax withholding obligations arising out of the vesting of restricted stock units ("RSUs") previously reported, and settled with shares by the Reporting Person.

2. These shares comprise a grant of RSUs awarded pursuant to the Reporting Person's offer letter. RSUs are scheduled to vest ratably over a three-year period, with one-third of the grant vesting on each of the first three anniversaries of the grant date. RSUs will be settled for shares of common stock on a one-for-one basis upon vesting.

3. This number includes (i) 85.733 shares acquired in connection with the Issuer's Employee Stock Purchase Plan, (ii) 764 RSUs that are scheduled to vest on March 15, 2023, (iii) 1545 RSUs that are scheduled to vest on May 3, 2023, (iv) 764 RSUs that are scheduled to vest on March 15, 2024, (v) 1545 RSUs that are scheduled to vest on May 3, 2024, (vi) 764 RSUs that are scheduled to vest on March 15, 2025 and (vii) 937 RSUs that are scheduled to vest on May 3, 2025.
