Explanation of Responses:

1. Reflects the grant of restricted stock units ("RSUs") under the Bausch + Lomb Corporation 2022 Omnibus Incentive Plan (the "Plan") which will vest one-third on each of the first three anniversaries following the date of grant, subject to the reporting person's continued service. Vested RSUs are settled in common shares, no par value ("Common Shares"), of Bausch + Lomb Corporation.

Remarks:

The Reporting Person's title as an officer of the Issuer is Executive Vice President & General Counsel and President, Ophthalmic Pharmaceuticals.
