Explanation of Responses:

1. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of the Company's common stock pursuant to the NiSource Inc. 2020 Omnibus Incentive Plan. Subject to certain forfeiture conditions, the RSUs will 100% vest on February 27, 2026, provided that the reporting person is continuously employed by the Company through and including that date.
