Explanation of Responses:

1. The stock option vests and becomes exercisable with respect to 25% on February 2, 2022 and will vest with respect to the remaining shares in 12 equal quarterly installments beginning on April 1, 2022.

2. The stock option vests and becomes exercisable with respect to 25% on March 31, 2022 and will vest with respect to the remaining shares in 12 equal quarterly installments beginning on April 1, 2022.

3. Each restricted stock unit ("RSU") represents a contingent right to receive one share of common stock. The RSUs vest in 16 equal quarterly installments commencing on April 1, 2022 and have no expiration date.
