Item 5.07. Submission of Matters to a Vote of Security Holders.
On May 17, 2023, EngageSmart, Inc. (the “Company”) held its 2023 Annual Meeting of Stockholders (the “Annual Meeting”). A total of 160,677,376 shares of the Company’s common stock were present by means of remote communication or represented by proxy at the Annual Meeting, representing approximately 96.46% percent of the Company’s outstanding common stock as of the March 24, 2023 record date. The following are the voting results for the proposals considered and voted upon at the Annual Meeting, each of which were described in the Company’s Definitive Proxy Statement filed with the Securities and Exchange Commission on April 5, 2023.
Proposal 1— Election of three Class II directors for a term of office expiring on the date of the annual meeting of stockholders in 2026 and until such director’s respective successors is elected and qualified or until such director’s earlier death, resignation or removal.
