| 1. Represents an equal number of restricted stock units ("RSUs") granted pursuant to the Issuer's 2021 Equity Incentive Plan. Each RSU represents the right to receive a share of the Issuer's Class A common stock on the date it vests, subject to continued service of the reporting person through the applicable vesting date. One fourth of the RSUs will vest on June 23, 2023 and one sixteenth of the RSUs will vest on a quarterly basis thereafter on each Quarterly Vesting Date beginning on November 15, 2023. Quarterly Vesting Dates with respect to any calendar year means February 15, May 15, August 15 and November 15. |
