Item 8.01 Other Events
As previously disclosed on a Current Report on Form 8-K dated November 8, 2021, Digital Health Acquisition Corp. (the “Company”) consummated its initial public offering (the “IPO”) of 11,500,000 units (the “Units”), each Unit consisting of one share of common stock of the Company, par value $0.0001 per share (the “Common Stock”) and one redeemable warrant of the Company (each, a “Warrant”), each Warrant entitling the holder thereof to purchase one share of Common Stock for $11.50 per share (subject to adjustment). The Units were sold at a price of $10.00 per Unit, and the IPO generated gross proceeds of $115,000,000. The IPO closing included the full exercise of the underwriter’s over-allotment option.
Simultaneously with the closing of the IPO, the Company consummated the private placement (“Private Placement”) with the Sponsor of an aggregate of 557,000 units (the “Private Units”) at a price of $10.00 per Private Unit, generating total gross proceeds of $5,570,000.
As of November 8, 2021, a total of $116,725,000 of the net proceeds from the IPO and the Private Placement were deposited in a trust account established for the benefit of the Company’s public stockholders at J.P. Morgan Asset Management with Continental Stock Transfer & Trust Company, LLC, acting as trustee.
An audited balance sheet as of November 8, 2021 reflecting receipt of the proceeds upon consummation of the IPO and the Private Placement is included with this report as Exhibit 99.1
