These restricted stock units, which convert into common stock on a one-for-one basis, were granted under the 2020 Graham Corporation Equity Incentive Plan in a transaction exempt under Rule 16b-3 and, except as otherwise provided in the award notice, vest one-third on each of 5/17/2024, 5/17/2025 and 5/17/2026.

2. These restricted stock units, which convert into common stock on a one-for-one basis, vest one-third on each of 5/23/2023, 5/23/2024 and 5/23/2025, except as otherwise provided in the award notice.
