Item 1.01 – Entry into a Material Definitive Agreement.
On July 26, 2022, Goldman Sachs Middle Market Lending Corp. II (the “Company”) entered into a first amendment (the “First Amendment”) to the Revolving Credit Agreement, dated as of November 26, 2021, by and among the Company, as borrower, and Bank of America, N.A., as administrative agent, lead arranger, sole bookrunner, structuring agent, letter of credit issuer and a lender. The First Amendment replaces the LIBOR Rate with Term SOFR plus a credit spread adjustment of 0.10% for loans with an interest period of one month, 0.15% for loans with an interest period of three months or 0.25% for loans with an interest period of six months, as applicable, as the interest rate benchmark with respect to loans denominated in U.S. dollars.
