Explanation of Responses:

1. The Class B Ordinary Shares will automatically convert into Class A Ordinary Shares at the time of the Issuer's initial business combination or earlier at the option of the holders thereof as described in the Issuer's Amended and Restated Memorandum and Articles of Association.

2. The Class B Ordinary Shares reported as beneficially owned are held of record by Genesis Growth Tech LLC ("Genesis Sponsor"). Eyal Perez is the sole member and the manager of Genesis Sponsor and as such, has sole voting and investment power over the shares held by Genesis Sponsor.

Remarks:

Eyal Perez is the Chairman of the Board of Directors, Chief Executive Officer and Chief Financial Officer of the Issuer.
