This transaction was a broker-assisted sale of shares of common stock to satisfy the withholding tax liability incurred upon the vesting of restricted stock units, as mandated by the Issuer's election under its equity incentive plan documents, and does not represent a discretionary trade by the reporting person.

2. The reported price in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $33.13 to $33.25 per share, inclusive. The reporting person undertakes to provide to the issuer, any security holder of the issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.

3. The reported price in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $32.8633 to $32.96 per share, inclusive. The reporting person undertakes to provide to the issuer, any security holder of the issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.

4. Includes 30,764 shares of common stock and 21,317 restricted stock units. Each restricted stock unit represents the right to receive, upon vesting, one share of common stock. 8,643 restricted stock units will vest on August 10, 2023, 2,195 restricted stock units will vest on March 16, 2024, 5,599 restricted stock units will vest evenly over two years on March 15, 2024 and March 15, 2025 and 4,880 restricted stock units will vest evenly over three years on March 14, 2024, March 14, 2025 and March 14, 2026. All such vests assume continued employment through the applicable vest date.
