Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of common stock.

2. This Form 4 amendment is being filed to correct the original Form 4 filed on January 10, 2022. The Transaction Date was stated incorrectly on the original Form 4.

3. The RSUs vest in two equal annual installments beginning January 11, 2023, subject to the continued service by the Reporting Person to the Issuer as of the applicable vesting date.
