The RSUs will vest on the earlier of the one-year anniversary of the grant date, or the day of the Issuer's next Annual Meeting of Stockholders following the grant date, subject to the Reporting Person remaining in continuous service through the applicable vesting date. The RSUs were issued pursuant to the Issuer's Outside Director Compensation Policy.
