2. Ithaca L.P. is the direct holder of 24,139,658 shares of Class A Common Stock. Ithaca L.P. acts through its general partner, Ithaca G.P. Limited.

3. Ithaca G.P. Limited may be deemed to share voting and dispositive power over the Class A Common Stock held by Ithaca L.P., but disclaims beneficial ownership of such Class A Common Stock except to the extent of its pecuniary interest therein.
