Amendment No. 1 to Schedule TO
This Amendment No. 1 amends and supplements the Tender Offer Statement on Schedule TO (this “Schedule TO”) originally filed with the Securities and Exchange Commission (the “SEC”) on February 21, 2023 by Owl Rock Technology Income Corp. (the “Company” “ORTIC,” “our,” “we,” or “us”), to purchase up to the number of shares of our issued and outstanding Common Stock that can be repurchased with $49,451,547 at a price equal to the net offering price per share for the applicable class of Common Stock in effect as of March 31, 2023. The Company’s offer is being made upon the terms and subject to the conditions set forth in the Offer to Purchase, dated February 28, 2023 (as the same may be further amended or supplemented from time to time, the “Offer to Purchase”), and in the related Letter of Transmittal (“Letter of Transmittal”), which, together with any amendments or supplements thereto, constitute the “Offer.”
The purpose of this Amendment No. 1 is to amend and supplement the Offer to Purchase to incorporate by reference the Annual Report on Form 10-K for the year ended December 31, 2022, filed with the SEC on March 9, 2023. Only those items amended are reported in this Amendment No. 1. Except as specifically provided herein, the information contained in this Schedule TO, the Offer to Purchase and the Letter of Transmittal remains unchanged. This Amendment No. 1 should be read in conjunction with the Schedule TO, the Offer to Purchase, the Letter of Transmittal.
