The shares of the Issuer's common stock held by the Reporting Person are subject to the restrictions on transfer set forth in the Lock-Up Agreement dated November 14, 2023 by and among the Reporting Person and Citigroup Global Markets Inc. as underwriter named in the Underwriting Agreement (the "Underwriting Agreement") filed with the SEC as Exhibit 1.1 to the Form 8-K filed by the Issuer on November 17, 2023.
