1. These shares were withheld by the Issuer to cover the tax liability upon the vesting of a time-based restricted stock award previously granted, and does not represent a discretionary sale by the reporting person.

2. Includes 589 shares pursuant to the 2021 Employee Stock Purchase Plan ("ESPP"), for the purchase period of August 1, 2023 to January 31, 2024. In accordance with the ESPP, these shares were purchased at a price equal to 85% of the closing price of the Issuer's common stock on January 31, 2024.
