1. Reporting person received the award under the Live Nation Entertainment, Inc. 2005 Stock Incentive Plan, as amended and restated as of March 19, 2015.

2. Represents a restricted stock award. If certain financial performance targets specified by the company's Compensation Committee are achieved for the year of the grant, 50% of the award will vest on March 31, 2024 and the remaining 50% will vest on March 31, 2025.
