The securities to be registered hereunder are shares of common stock, $0.0001 par value per share (the “Shares”), of RiverNorth Managed Duration Municipal Income Fund II, Inc. (the “Registrant”). An application for listing of the Shares has been filed with the New York Stock Exchange LLC. A description of the Shares is contained under the caption “Description of the Common Shares” in the Preliminary Prospectus, which is a part of Pre-Effective Amendment No. 2 to the Registration Statement on Form N-2 (Registration Nos. 333-257627 and 811-23713), filed with the Securities and Exchange Commission on January 24, 2022.
