1. The reported securities represent restricted stock units ("RSUs") which each entitle the reporting person to receive one share of common stock upon vesting. The RSUs will vest, assuming closing of the Issuer's initial public offering, in 1/12th installments on the last day of each of the successive three month periods immediately following May 10, 2024, subject to continued employment through each such date.
