1. Time-based restricted stock units vest in three equal tranches on each of the 1st, 2nd and 3rd anniversaries of the day immediately prior to grant date.

2. The price per share for each restricted stock unit was based on the Issuer's average closing price for the preceding 30 trading days, inclusive of the grant date. The restricted stock units were awarded in an exempt transaction pursuant to Rule 16b-3(d) of the Securities Exchange Act of 1934, as amended.
