Explanation of Responses:

1. Each Restricted Stock Unit represents a contingent right to receive one share of STKL common stock.

2. This line item reflects the deemed disposition of shares withheld by the Company to satisfy income tax withholding requirements in connection with the vesting of the RSUs.

3. The grant on October 13, 2021 should have been 6,619 RSUs but only 3,535 were granted and subsequently reported. This filing contains the issuance of an additional 3,084 Commons Shares to correct the difference.

4. This line item reflects the deemed disposition of shares withheld by the Company to satisfy income tax withholding requirements in connection with the issuance of Common Shares.

5. The Restricted Stock Units vest in one annual installments on October 13, 2022, subject to the continued employment of the reporting person.

6. The Restricted Stock Units do not have an expiration date.
