On August 6, 2024 (the “Agreement Date”), NeuroSense Therapeutics Ltd. (the “Company”) entered into a securities purchase agreement (the “Purchase Agreement”) with certain investors, which include members of the Company’s senior management and existing investors. This private placement offering (the “Private Placement”) was priced at approximately a 10% premium to the closing price of the Company’s ordinary shares on the Nasdaq Capital Market on the Agreement Date. In connection with the Private Placement, the Company agreed to sell an aggregate of 800,000 ordinary shares and warrants to purchase an aggregate of 800,000 ordinary shares (the “Warrants”), at a combined purchase price of $0.75 per share and accompanying Warrant.
The Private Placement is subject to customary closing conditions and is expected to close during the week of August 12, 2014.
Each Warrant will be immediately exercisable upon issuance and will have a 5-year term from the issuance date. The exercise price of each Warrant is $0.75 per share, subject to adjustment as set forth therein. The Warrants may be exercised on a cashless basis if at the time of exercise thereof there is no effective registration statement registering the ordinary shares underlying the Warrants.
The Purchase Agreement contains customary representations, warranties and agreements by the Company, customary conditions to closing, indemnification obligations of the Company, other obligations of the parties and termination provisions.
Insiders including senior management of NeuroSense, the Chief Executive Office, the Chief Financial Officer, the Chief Medical Officer, and members of the CEO’s family, as well as existing shareholders are participating in the offering.
Proceeds from the Private Placement are expected to be used for general corporate and working capital purposes.
