Explanation of Responses:

1. On December 5, 2022, the Reporting Person made a $100,000 commitment to the Issuer. The commitment will be drawn down by the Issuer over time.

2. The price is the most recently-calculated and final net asset value per unit. The actual number of units to be purchased and the price of such units will be based on the net asset value of the Issuer as of each date on which the commitment is drawn down.

3. The Reporting Person previously made a $400,000 commitment to the Issuer, which was previously reported. The Reporting Person's total commitment to the Issuer is $500,000.

Remarks:

+ The Reporting Person is also the Co-Head and Co-Chief Investment Officer of Central Park Advisers, LLC, the investment adviser of the Issuer.
