1. (1) In connection with his continued employment, on January 22, 2025 Mr. Merriman received 325,000 stock options issued pursuant to the Castellum, Inc. Amended 2021 Stock Incentive Plan to purchase 325,000 shares of restricted common stock. 162,500 of the stock options to purchase 162,500 shares of restricted common stock vest ratably over thirty-six months and 162,500 stock options to purchase 162,500 shares of restricted common stock begin to vest ratably over thirty-six months upon the Company being awarded a certain government contract.
