Explanation of Responses:

1. This option becomes exercisable as to one half (50%) of the shares on October 31, 2023, and as to one half (50%) of the shares on October 31, 2024.

2. Each restricted stock unit ("RSU") represents the contingent right to receive one share of the issuer's common stock.

3. These RSUs will vest as to one half (50%) of the shares on October 31, 2023, and as to one half (50%) of the shares on October 31, 2024.

Remarks:

This amendment to the Statement of Changes in Beneficial Ownership of Securities is being filed to correct a typographical error in the "Date of Earliest Transaction" reported on behalf of the reporting person on October 11, 2022. Exhibit 24: Power of Attorney
