Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
As previously disclosed, on December 14, 2022, the New York Stock Exchange (the “NYSE”) notified Starry Group Holdings, Inc. (the “Company”), and publicly announced, that the NYSE determined to commence proceedings to delist the Company’s Class A Common Stock, par value $0.0001 per share (the “Class A Common Stock”) and warrants to purchase shares of Class A Common Stock (the “Warrants”) from the NYSE and that trading in the Class A Common Stock and Warrants would be suspended immediately, due to trading price levels pursuant to Section 802.01D of the NYSE Listed Company Manual. Following suspension of trading on the NYSE on December 15, 2022, trading in the Class A Common Stock and Warrants commenced in the over-the-counter market under the symbols “STRY” and “STRYW,” respectively.
The Company did not appeal the NYSE’s decision to commence delisting proceedings and on December 30, 2022, the NYSE filed a notification of removal from listing on Form 25 with the Securities and Exchange Commission (the “SEC”) with respect to the delisting of the Class A Common Stock and Warrants. The delisting will become effective on January 9, 2023.
