Explanation of Responses:

1. Estimate based on the Issuer's most recently determined net asset value ("NAV") per share on December 30, 2022. Due to the timing of the Issuer's calculation of its NAV, the actual number of shares purchased and purchase price per share cannot be determined at the time of this filing. Following the definitive calculation of such NAV, an amendment to this Form 4 will be filed to disclose the number of shares purchased, the purchase price per share, and the total amount of securities beneficially owned by the Reporting Person following the reported transaction.

Remarks:

The Reporting Person is a Portfolio Manager of Marathon Asset Management, L.P., the Sub-Advisor of the Issuer. The Reporting Person disclaims beneficial ownership of any securities reported as beneficially owned by Marathon Asset Management, L.P.
