2023, August 31, 2023, October 2, 2023 and November 6, 2023, we issued payments to the Non-redeeming Stockholders in the aggregate amount of $480,000 in relation to the extension of the Combination Period through December 4, 2023.
On December 1, 2023, we held a special meeting of stockholders (the “December 2023 Meeting”), at which our stockholders approved an amendment to the Company’s amended and restated certificate of incorporation to (A) give the Company the right to extend the Combination Period up to twelve (12) times, each such extension for an additional one (1) month period, from December 4, 2023 to December 3, 2024 (i.e., for a period of time ending 36 months from the consummation of the IPO) and (B) expand the methods that the Company may employ to not become subject to the “penny stock” rules of the Securities and Exchange Commission. In connection with the stockholders’ vote at the December 2023 Meeting, 927,715 shares of common stock were tendered for redemption. As of June 30, 2024, we paid an aggregate amount of $315,000 to the Trust account for each one-month extension to extend the date by which the Company must consummate its Business Combination from December 4, 2023 to July 4, 2024.
Nasdaq Matters
On October 9, 2023, The Nasdaq Stock Market LLC (“Nasdaq”) notified the Company that it did not comply with Nasdaq’s minimum 400 Total Holders requirement set forth in Listing Rule 5450(a)(2) (the “Rule”). Based on Nasdaq’s further review and the materials submitted by the Company on November 24, 2023, January 5, 2024, and February 19, 2024, Nasdaq determined to grant the Company an extension of time to regain compliance with the Rule. On May 13, 2024, Nasdaq notified the Company that it did not regain compliance with the requirement during the extension period. On May 17, 2023, the Company requested a hearing before a Nasdaq Hearing Panel (the “Panel”). A hearing on this matter was held on June 27, 2024 and on July 3, 2024, Nasdaq notified the Company that the Panel has determined to grant the Company’s request to continue its listing on Nasdaq subject to the condition that on or before November 11, 2024, the Company shall demonstrate compliance with the Rule. The Company expects to demonstrate its compliance with the Rule in connection with the closing of its business combination with New Era Helium Corporation.
Results of Operations
We have neither engaged in any operations nor generated any revenues to date. Our only activities through June 30, 2024 were organizational activities, those necessary to prepare for the Initial Public Offering described below, and subsequent to the Initial Public Offering, identifying a target company for an initial business combination. We do not expect to generate any operating revenues until after the completion of our initial business combination, at the earliest. We generate non-operating income in the form of interest income on marketable securities held in the Trust Account (as defined below). We incur expenses as a result of being a public company (for legal, financial reporting, accounting and auditing compliance), as well as for due diligence expenses in connection with searching for, and completing, an initial business combination.
For the three months ended June 30, 2024, we had a net loss of $719,432, which consisted of operating costs of $886,750 and provision for income taxes of $57,971, offset by of interest earned on marketable securities held in Trust Account of $225,289.
For the six months ended June 30, 2024, we had a net loss of $840,629, which consisted of operating costs of $1,172,663, interest and penalties of $463 and provision for income taxes of $115,190, offset by of interest earned on marketable securities held in Trust Account of $447,687.
For the three months ended June 30, 2023, we had a net income of $94,393, which consisted of interest earned on marketable securities held in Trust Account of $1,043,998, offset by of operating costs of $179,481, provision for income taxes of $290,124 and finance costs for non-redemption agreements of $480,000.
For the six months ended June 30, 2023, we had a net income of $802,949, which consisted of interest earned on marketable securities held in Trust Account of $2,297,875, offset by of operating costs of $385,131, provision for income taxes of $629,795 and finance costs for non-redemption agreements of $480,000.
