Explanation of Responses:

1. Represents restricted stock units ("RSUs") which will vest one-third on the first anniversary of the vesting commencement date and quarterly thereafter over eight quarters. The vesting commencement date is February 15, 2025. Each RSU represents a contingent right to receive one share of common stock of the Issuer and the RSUs have no expiration date.
