| 1. Shares acquired in a pro rata distribution by Ziff Davis, Inc., formerly known as J2 Global, Inc. ("Ziff Davis"), of shares of Consensus Cloud Solutions, Inc. ("Consensus") in connection with the separation of Consensus from Ziff Davis (the "Separation"). |
| 2. In connection with the Separation, shares subject to each outstanding Ziff Davis restricted stock unit award were converted into a number of shares subject to a restricted stock unit award denominated in shares of Consensus common stock pursuant to the terms of the employee matters agreement between Ziff Davis and Consensus. The number of underlying shares subject to each restricted stock unit award is unknown at this time, as it will be calculated based on the average of the volume weighted average price of shares of Consensus common stock for the 30 regular trading days commencing with the date of the Separation, and will be reported on an amendment to this Form 4 as soon as practicable once the number of shares subject to each award is calculated. |
